Luxembourg does not sell itself on being cheap or fast. It sells itself on being the place a fund manager, a family office and a Brazilian conglomerate can all put a holding company and have nobody raise an eyebrow. That reputation is the product. The tax rate is not especially low, the process is not especially quick, and there is a notary in the middle of it that you cannot route around.
Here is the short version. A Luxembourg Sàrl takes roughly two to four weeks to register: name reservation, a notarial deed and entry in the Trade and Companies Register (RCS). Minimum capital is EUR 12,000, and since 2 June 2026 the cash payment can be deferred up to twelve months after incorporation, so you no longer need a blocked bank account before you can exist. How to set up a company in Luxembourg
The workhorse is the Sàrl, the private limited company. The steps:
- Reserve the name with the RCS. A trading company also needs a business-establishment authorisation from the Ministry of the Economy — check this early, because it gates the whole timetable for operating businesses.
- Draft the articles and subscribe the capital. EUR 12,000 fully subscribed. The June 2026 reform is genuinely useful here: the cash payment may now be deferred for up to twelve months, which decouples incorporation from the bank.
- Execute the deed before a Luxembourg notary. Mandatory. It can be signed by proxy under a power of attorney, so no travel is required, but the notary is not optional and the fee is typically EUR 1,800 to 3,000.

The Soparfi is a regime, not a company type

Substance is the whole game now
This is where most Luxembourg plans go wrong, and it is worth being blunt about it. Securing Luxembourg tax residence, treaty benefits and the participation exemption requires genuine local substance: resident managers, an office, and decisions actually taken in Luxembourg. Thinly-staffed holding companies are increasingly challenged under EU and ATAD rules, and a letterbox with a nominee director is not a structure — it is a liability with a registration number.
Company law itself is relaxed: managers may be of any nationality or residence, and there is no statutory resident-director requirement. That is precisely the trap. The law does not require substance; the tax outcome you are buying does.
Audit thresholds are generous after the October 2024 reform — a statutory audit by a réviseur d'entreprises agréé only once two of three thresholds are exceeded: EUR 7.5 million balance-sheet total, EUR 15 million turnover, 50 employees.
The bank account, and the timing
Corporate bank-account opening in Luxembourg is a separate, KYC-heavy exercise that routinely takes several weeks and is not guaranteed. The deferred-capital reform of June 2026 helps by letting you incorporate before the account exists, which removes the old deadlock where the bank wanted a registered company and the registry wanted the capital deposited. It does not make the bank say yes.
Who this is actually for
Luxembourg suits a group holding real participations, a fund structure, or a European headquarters that needs treaty access and institutional credibility, and that will fund actual substance in the country. It is the right answer for a EUR 20 million portfolio of subsidiaries and the wrong answer for a single consulting business with one founder.
If you want low tax and speed rather than treaty depth, Hungary charges 9% and registers a Kft. in days. If you want a holding vehicle without the notary, Ireland or the Netherlands are cheaper to run.
