The Cayman Islands is where the world's investment funds are domiciled, and that fact does more work than any brochure. A Cayman exempted company is the default vehicle in fund formation, joint ventures and cross-border SPVs — not because it is cheap, but because every counterparty's lawyer already knows what it is.

Here is the short version. A Cayman exempted company is registered in three to five business days on the standard service, or one to two days on express. The registry incorporation fee starts at US$853, roughly KYD 700, tiered by authorised share capital, with about US$610 extra for express. There is no corporate income, capital gains, payroll or withholding tax, and a 20-year tax-exemption undertaking — extendable to 30 — can be obtained. There is no minimum capital and no resident-director requirement, but a licensed registered office and agent are compulsory, and the economic substance regime is real.

How to register a Cayman company

  1. Engage a licensed Cayman registered office and agent — mandatory — and clear KYC and AML on the beneficial owners.
  2. Reserve and clear the name with the General Registry.
  3. File the Memorandum and Articles of Association with the Registrar of Companies.
  4. Pay the incorporation fee, tiered to authorised share capital. The convention is US$50,000 authorised — 50,000 shares at US$1 — which is the ceiling of the lowest fee tier.
  5. Receive the Certificate of Incorporation, appoint directors, issue shares and maintain statutory and beneficial-ownership registers.
  6. File the Economic Substance Notification, apply for the tax-exemption undertaking, then open a bank account.

The exemption undertaking is a real instrument

This is one of Cayman's genuinely distinctive features and it is under-explained elsewhere. An exempted company can obtain a written undertaking from the government that no law subsequently enacted imposing tax on profits, income, gains or appreciations will apply to it for a period of 20 years, extendable to 30.

It is not a tax ruling in the sense that a European jurisdiction would use the term, and it does not bind any other country. What it does is remove the risk of Cayman itself changing its mind during the life of a fund — which for a structure with a ten-year horizon is worth having in writing.

Economic substance is the constraint

Entities carrying on a relevant activity — holding business, fund management, financing and leasing, intellectual property, headquarters, distribution and service centre, shipping, insurance, banking — must be directed and managed in Cayman, conduct core income-generating activity locally, and file an annual economic substance notification and return with the DITC.

For a pure holding company the test is reduced. For fund management or intellectual property it is not, and satisfying it means real local presence with real cost. Classification should be settled before incorporation, because it determines whether the vehicle is cheap to run or expensive.

A registered office and licensed agent are compulsory and recur annually, and an annual return with government fee falls due each January.

Audit and regulation

A plain exempted company needs no audit. A CIMA-regulated fund is a different animal entirely: it requires CIMA registration, a Cayman-approved auditor and CIMA fees, and that is where the real annual cost of a Cayman structure usually sits.

This is worth separating carefully. People compare "a Cayman company" against "a BVI company" on registry fees and reach conclusions that fund structures make irrelevant.

Tax neutrality does not travel

Cayman charges nothing. Your home country may charge plenty. Controlled-foreign-company rules and place-of-effective-management tests can attribute the profits or make the company resident elsewhere, and OECD Pillar Two imposes a 15% minimum on large groups regardless of where the entity sits.

Substance-light banking access has also tightened considerably. Opening an account for a Cayman entity with no local presence takes time and is not assured, so lead time should be budgeted rather than assumed.

Cayman or BVI

The honest comparison. The BVI is cheaper — US$550 to register against US$853 and up — and lighter to administer, and it dominates plain holding and joint-venture structures. Cayman dominates funds: if there is a limited partnership, an offering memorandum or an institutional allocator anywhere in the plan, Cayman is the expected answer and deviating from it costs more in explanation than it saves in fees.

For a single-asset holding vehicle with no fund overlay, the BVI usually wins. For anything that will be marketed to investors, Cayman does.
